Corporate law proceedings
We advise and litigate across a broad range of corporate law issues, assisting clients both preventively and in ongoing disputes.
Our work includes:
- shareholder disputes
- disputes between directors and shareholders
- joint ventures and co-operation structures
- mergers and acquisitions
- corporate restructurings
- directors’ liability
- alleged mismanagement and improper management
Where proceedings are required, we represent clients before the Enterprise Chamber of the Amsterdam Court of Appeal and the Dutch civil courts. Our approach is strategic, focused and directed towards the client’s commercial objectives.
Advice on disputes within companies
Disputes within a company can have serious consequences for business continuity. They may involve differences of opinion between shareholders, board-level disputes, disagreements about management or conflicts arising from transactions and collaborations.
Poelman c.s. assists companies in preventing, managing and resolving corporate disputes. Wherever possible, we seek practical solutions outside court. Where litigation is required, we act decisively and with the necessary legal focus.
Strategic legal advice for entrepreneurs
In addition to litigation, we advise companies and entrepreneurs on legal risks, governance issues and corporate structures. Timely legal advice can often prevent disputes and directors’ liability issues from arising.
Our lawyers think actively with clients to develop solutions that are legally robust and practically workable.
These disputes often concern management policy, dividend policy, dismissal, information rights or alleged mismanagement. We advise on shareholders’ meetings, negotiation, mediation and court proceedings, including proceedings before the Enterprise Chamber where appropriate.

Directors’ liability may arise where a director improperly performs his or her duties towards the legal entity, for example under Article 2:9 of the Dutch Civil Code, or acts so carelessly towards third parties that a serious personal reproach can be made, for example under Article 6:162 of the Dutch Civil Code. In the bankruptcy of a Dutch public limited company or private limited company, Articles 2:138 and 2:248 of the Dutch Civil Code may also create joint and several liability towards the estate if the board has manifestly improperly performed its duties and this was an important cause of the bankruptcy.
